1. About these terms
These terms form a legally binding agreement between you and [Southledger Pty Ltd] ([ABN 00 000 000 000]). By creating an account or using Southledger, you agree to them, along with our Privacy Policy, AML Policy, KYC Policy and Risk Disclosure. If you do not agree, do not use our services.
2. Who can use Southledger
- You must be at least 18 years old and able to enter into a binding contract
- You must not live in a country we do not serve (see our KYC Policy)
- You must not be on any sanctions list or act for someone who is
- Business accounts must be opened by an authorised representative
3. Your account
Accurate information
You must give us true, current and complete information and keep it up to date.
Keeping your account secure
You are responsible for keeping your password and two-factor authentication device safe. Never share your log-in details, and tell us straight away at security@southledger.com if you think someone else has accessed your account. Southledger staff will never ask for your password, 2FA codes or recovery phrase.
Your recovery phrase
When you sign up, your device generates a 12-word recovery phrase. It is the main way to reset your password, and it controls your wallet. We do not store it and cannot recover, reset or replace it. You must write it down, keep it offline and never share it. Anyone who has your phrase can take control of your account and wallet.
If you lose your recovery phrase
If you forget your password and no longer have your phrase, you can ask support to restore access to your account. You will need to re-verify your identity, including a live selfie. We then apply a 72-hour security hold, notify you on every contact method we hold, and disable withdrawals until the hold ends. Restoring account access does not restore the phrase. Any digital assets that can only be reached with your original phrase may be permanently lost.
One account per person
Each person may hold one personal account unless we agree otherwise in writing.
4. Our services
Southledger lets you buy, sell and hold supported digital assets, and deposit and withdraw them on supported networks. We may add, change or remove assets, networks or features. Where reasonably possible we will give you notice before removing an asset you hold.
5. Fees
Our fees are shown on our fees page and before you confirm any transaction. Blockchain network fees are set by the network, not by us, and may change with demand.
6. Transactions
- You are responsible for checking every detail of an order or withdrawal, including the destination address and network, before you confirm it
- Blockchain transactions generally cannot be reversed once confirmed
- Assets sent to the wrong address or network may be permanently lost
- We may delay, hold or refuse a transaction where the law requires it or we reasonably suspect fraud, a scam or a security risk
7. Things you must not do
- Use Southledger for money laundering, terrorism financing, scams, fraud or any other illegal purpose
- Manipulate markets, including wash trading, spoofing or pump-and-dump schemes
- Try to access other people's accounts or our systems without permission
- Use bots, scrapers or automated tools except through our official API
- Open accounts in someone else's name or let others use your account
- Get around our limits, verification or geographic restrictions
8. Verification and compliance
We must verify your identity and monitor transactions under Australian AML/CTF law. We may ask for more information at any time. If you do not provide it, we may limit, suspend or close your account. We may be legally prohibited from telling you why we have taken some actions.
9. Suspending or closing accounts
You can close your account at any time once open orders and pending transactions have settled and you have withdrawn your assets. We may suspend or close your account if you breach these terms, if the law requires it, or if we reasonably believe your account is being used for fraud or other harmful activity. Where possible we will give you notice and let you withdraw your assets.
10. Intellectual property
The Southledger name, logo, website, apps and content belong to us or our licensors. You may use them only to access our services as permitted by these terms.
11. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded. To the extent the law allows, we are not liable for:
- Losses caused by market movements
- Losses from your own mistakes, such as sending assets to the wrong address or network
- Losses from your failure to keep your log-in details and devices secure
- Losses from losing your recovery phrase, or from anyone else obtaining it, to the extent the law allows
- Blockchain network outages, forks or failures outside our control
- Indirect or consequential losses, such as lost profits
Where our liability cannot be excluded but can be limited, it is limited to resupplying the service or paying the cost of having it resupplied.
12. Your responsibility to us
If you breach these terms or the law, you agree to cover losses and reasonable costs we incur as a result, except to the extent we caused them.
13. Changes to these terms
We may update these terms. We will give you at least 30 days' notice of changes that adversely affect you, unless a change is needed sooner for legal or security reasons. If you keep using Southledger after the changes take effect, the new terms apply.
14. Complaints and disputes
If you have a complaint, contact support@southledger.com and we will try to resolve it quickly and fairly. If we cannot, either of us may take the dispute to the courts of [Queensland], Australia.
15. Governing law
These terms are governed by the laws of [Queensland] and the Commonwealth of Australia.
